1. Agreement and company
These Terms govern your use of the Agenton AI voice platform and this website (the "Service"), provided by:
By accessing or using the Service, you agree to these Terms. Where a signed order or agreement between you and Agenton conflicts with these Terms, that signed agreement prevails.
2. The Service
Agenton provides an AI voice agent for inbound and outbound customer calls. Depending on your plan, this can include:
- Automated call handling and real-time transcription
- Caller-intent recognition and booking assistance
- Integration with your booking, CRM, or dealer management systems
- Service analytics and reporting
3. Accounts and eligibility
- The Service is for business use by organisations, not consumers.
- You must provide accurate account information and keep your credentials secure.
- You are responsible for activity under your account.
4. Your responsibilities
- Use the Service lawfully and only for its intended purpose.
- Provide any legally required notice or consent to callers, including for call recording.
- Do not use the Service to break the law, infringe rights, or send unlawful or harmful content.
- Do not attempt to disrupt, reverse engineer, or gain unauthorised access to the Service.
5. AI outputs
The Service uses automated AI systems that can make mistakes, including inaccurate transcriptions, bookings, or information.
- AI outputs are provided without warranty as to accuracy or completeness.
- You remain responsible for verifying business-critical actions, such as confirming bookings and information given to your customers.
We aim to acknowledge reported errors within one business day and to fix confirmed issues as promptly as reasonably practicable. These are target response times, not guaranteed resolution times.
6. Data protection
- For personal data processed through your use of the Service, you are the controller and Agenton is your processor.
- This processing is governed by a Data Processing Agreement, available on request, which forms part of your agreement with us.
- How we handle personal data is described in our Privacy Policy.
7. Intellectual property
- All rights in the Service, including software, content, and branding, belong to Agenton Oy.
- You receive a limited, non-exclusive, non-transferable right to use the Service for its intended purpose during your subscription.
- We do not use your data to train or fine-tune AI models, as set out in our Privacy Policy.
8. Fees and payment
- Fees are set out in your order and are exclusive of VAT and other taxes.
- Unless your order states otherwise, invoices are payable within 14 days net.
- Overdue amounts may accrue statutory interest, and continued non-payment may lead to suspension.
- We may change pricing with at least 30 days notice, effective from your next renewal.
9. Term and termination
- Subscriptions run for the term in your order and renew automatically unless cancelled as set out there.
- Either party may terminate for material breach that is not remedied within a reasonable period after notice.
- On termination, your access ends and we handle your data as described in our Privacy Policy and DPA.
10. Warranties and disclaimers
We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties to the extent permitted by law, including implied warranties of fitness for a particular purpose.
11. Limitation of liability
- Neither party is liable for indirect, incidental, or consequential loss, or for lost profits, revenue, goodwill, or anticipated savings.
- Each party's total liability is capped as set out in the applicable order or signed agreement.
- Nothing in these Terms limits liability that cannot be limited by law, or liability for gross negligence or wilful misconduct.
12. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law or the information is already public.
13. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party networks or infrastructure.
14. Changes to these Terms
We may update these Terms. Material changes will be communicated by email or through the Service with at least 30 days notice, and the "Last updated" date above changes accordingly.
15. Governing law
These Terms are governed by the laws of Finland. The courts of Helsinki have exclusive jurisdiction over any dispute arising from them.
